1. Scope of application
These Terms of Service govern all contractual relationships between leopard.ki, operated by Martin Spieß, Prinz-Eugen Straße 13/1, 74388 Talheim, Germany, and business customers using the Services leo.page and leo.live.

The Services are intended exclusively for business customers acting in a commercial capacity. Conflicting or additional terms of the customer shall not apply unless explicitly agreed in writing by leopard.ki.

2. Description of services
leopard.ki provides AI-powered advisory and demand intelligence software designed to guide website visitors through structured interactions, identify customer intent and decision barriers, generate qualified inquiries, extract demand insights from real user conversations, and support marketing and sales optimization processes.The Services include leo.page as an AI-guided interaction layer embedded into the customer’s website environment and leo.live as a real-time analytics environment that evaluates structured visitor intent signals and interaction patterns.Service functionality may evolve as infrastructure and AI models improve.

3. Eligibility
The Services are available exclusively to businesses and professionals. By using the Services, the Customer confirms acting in a commercial capacity and having the authority to enter binding agreements on behalf of the organization represented.

4. Subscription model
The Services are provided on a subscription basis. Subscriptions renew automatically unless cancelled before the end of the respective billing period. Billing occurs monthly unless otherwise agreed.Access to the Services remains active until termination becomes effective at the end of the billing cycle.

5. Free trial
leopard.ki may provide a thirty-day free trial period during which full platform functionality may be available without charge. Unless cancelled before the end of the trial period, the subscription automatically converts into a paid subscription.

6. Fees and payment
Fees are specified on the website, order confirmation, or payment page. All prices are exclusive of statutory value-added tax unless stated otherwise.Payments are processed securely via third-party payment providers including Stripe. Failure to complete payment obligations may result in suspension or limitation of access to the Services.

7. Annual plans
Where annual subscription plans are offered, billing occurs upfront for the respective annual period. Annual subscriptions renew automatically unless cancelled prior to renewal. Annual plans may include discounted pricing compared to monthly subscriptions.

8. Customer responsibilities
The Customer agrees to provide accurate setup information and ensure lawful use of the Services within their website environment and business processes.The Customer remains responsible for compliance with applicable data protection regulations, lawful collection of visitor data, and validation of AI-generated outputs before operational or commercial use.The Customer warrants that any materials provided do not violate applicable law or third-party rights.

9. Acceptable use policy
The Customer shall not use the Services to generate unlawful content, conduct deceptive practices, distribute misinformation intentionally, process restricted categories of personal data without legal basis, reverse engineer system components, interfere with platform availability, or attempt unauthorized access to infrastructure components.Violation of these provisions may result in suspension or termination of access.

10. AI-generated output disclaimer
The Services rely on probabilistic artificial intelligence systems. Generated responses may contain inaccuracies, omissions, or unexpected interpretations. All outputs require human validation before use in operational or strategic decision-making contexts.leopard.ki does not guarantee correctness or completeness of generated responses.

11. Availability and service levels
leopard.ki aims to provide high platform availability. However, service continuity depends partially on infrastructure providers including OpenAI, xAI, Mistral, and hosting environments.Temporary interruptions due to maintenance, updates, security measures, or third-party dependencies do not constitute service defects.

12. Third-party providers
The Services integrate external artificial intelligence infrastructure providers including OpenAI, xAI, and Mistral. Data transmission to such providers may occur solely for generating structured responses and enabling advisory functionality. These providers operate under independent security frameworks.

13. Data protection
leopard.ki processes personal data in accordance with the General Data Protection Regulation and applicable European data protection laws.Customer data is processed exclusively for service delivery unless legal obligations require otherwise.Customers remain responsible for lawful operation of their own websites and compliance with applicable privacy regulations.A Data Processing Agreement may be provided upon request.

14. Intellectual property
All platform components remain the intellectual property of leopard.ki. The Customer receives a non-exclusive, non-transferable right to use the Services during the subscription period.Customer data remains the property of the Customer. Aggregated and anonymized usage insights may be used for system improvement purposes.

15. Usage rights
During the subscription period the Customer may embed leo.page within their website environment, access leo.live analytics dashboards, and evaluate structured visitor interaction insights generated by the platform.Usage rights expire upon termination of the subscription.

16. Confidentiality
Both parties agree to treat confidential information received within the contractual relationship as strictly confidential unless disclosure is required by law.Confidential information includes technical documentation, analytics insights, methodologies, and business information exchanged during service delivery.

17. Limitation of liability
leopard.ki is liable without limitation only in cases of intent, gross negligence, or injury to life, body, or health.In cases of minor negligence, liability is limited to foreseeable damages typical for the contract.leopard.ki shall not be liable for indirect damages, lost profits, lost business opportunities, lost data, model inaccuracies, or interruptions caused by third-party infrastructure providers.

18. Export control compliance
The Customer agrees not to use the Services in violation of European Union export control regulations, United States export regulations, or applicable international sanctions frameworks.

19. Suspension and termination
leopard.ki may suspend access to the Services if payment obligations are not fulfilled, misuse is detected, or legal risks arise.Customers may cancel subscriptions at any time prior to renewal. Termination becomes effective at the end of the current billing cycle.

20. Modifications to services
leopard.ki may modify or improve platform components where necessary to maintain performance, security, or compatibility with infrastructure providers. Core functionality will remain materially unchanged.

21. Portfolio usage
leopard.ki may reference customers as platform users unless the Customer objects in writing.

22. Governing law and jurisdiction
These Terms are governed by German law. The place of jurisdiction, where legally permissible, is Heilbronn, Germany.

23. Severability clause
If any provision of these Terms is invalid, the validity of the remaining provisions remains unaffected. Invalid provisions shall be replaced by provisions closest to their intended economic purpose.
