General Terms and Conditions (T&C) of leopard.ki (Martin Spieß)
1. Scope of Application
The following General Terms and Conditions (T&C) govern all contractual relationships between leopard.ki and its customers. Deviating or supplementary conditions of the customer shall not become part of the contract unless leopard.ki has expressly agreed to their validity in writing.
2. Scope of Services
leopard.ki offers dynamic content adaptation on homepages, business assistants, and AI agents by integrating with Chat GPT (or other AI systems). The exact scope of services is described in our offers leo.1, leo.2, leo.3, and leo.page. Any additional services must, if applicable, be specified in a written contract or order confirmation between leopard.ki and the customer.
3. Prices and Payment Terms
The prices for leopard.ki’s services depend on the booked service package or an individually agreed scope of services and will be communicated to the customer prior to the start of work. All prices are exclusive of statutory value-added tax (VAT). Payment terms are specified in our offers or agreed individually between leopard.ki and the customer.
4. Copyright and Usage Rights
All services provided by leopard.ki are subject to German copyright law. Usage rights are generally transferred to the customer unless otherwise agreed in the contract. However, leopard.ki reserves the right to reference the work and use it for promotional purposes.
5. Liability
leopard.ki is liable only for intent and gross negligence. For simple negligence, leopard.ki is liable only in the event of a breach of essential contractual obligations. Liability is limited to damages foreseeable at the time of contract conclusion. In particular, leopard.ki assumes no liability for content or its interpretation by users generated through dynamic adaptation with ChatGPT, except in cases of intentional or grossly negligent errors. Furthermore, leopard.ki is not liable for failures of the OpenAI API or other services linked to our products. We also do not assume liability for revenue losses resulting from such failures.
6. Data Protection
leopard.ki treats all personal data of the customer confidentially and complies with applicable data protection regulations. Personal data is used solely for contract fulfillment and will not be disclosed to third parties unless the customer has expressly consented or disclosure is legally required. Due to integration with external AI platforms such as ChatGPT, data transmission to these platforms may occur in exceptional cases. OpenAI, the developer of ChatGPT, or other providers have implemented comprehensive data protection and security measures, including data minimization, anonymization, and encryption. Despite these measures, leopard.ki cannot guarantee complete data protection. The customer is informed that a certain level of risk remains.
7. Contract Term and Termination
The contract between leopard.ki and the customer is concluded exclusively on a subscription basis. Subscriptions can be terminated at any time. Either party may terminate the subscription with immediate effect if the other party fails to fulfill its contractual obligations despite a request to do so. Termination must be in writing.
8. Cooperation and Customer Obligations
The customer is obliged to provide leopard.ki with all information and materials necessary for the performance of the agreed services in a timely manner. The customer warrants that the provided content does not infringe on third-party rights or violate applicable law.
9. Handling of Change Requests
The customer must notify leopard.ki of any change requests regarding the agreed services in writing. If the changes result in significant additional effort, they will be subject to separate compensation. The exact scope and costs will be agreed in writing prior to implementation.
10. Availability and Maintenance
leopard.ki strives to ensure high availability of the provided services. Temporary restrictions or outages due to maintenance work necessary to ensure proper operation cannot be entirely excluded and do not constitute a defect.
11. Final Provisions
The laws of the Federal Republic of Germany shall apply. The place of performance and jurisdiction for disputes, to the extent permitted by law, is the registered office of leopard.ki. Should individual provisions of these T&C be or become invalid, this shall not affect the validity of the remaining provisions. In place of an invalid provision, a provision shall apply that comes closest to the economic purpose of the invalid provision.
